Independent Contractor Agreement

1. Parties and Purpose
This Independent Contractor Agreement ("Agreement") is entered into between WiroRide LLC ("WiroRide" or "Company") and the individual registering as a Driver on the WiroRide platform ("Contractor" or "Driver"). This Agreement governs the relationship between WiroRide and the Contractor and establishes the terms under which the Contractor may access and use the WiroRide technology platform (the "Platform") to connect with passengers seeking transportation services.
2. Independent Contractor Status
2.1 Nature of Relationship
The Contractor is an independent contractor and NOT an employee, agent, joint venturer, or partner of WiroRide. Nothing in this Agreement creates an employment relationship, partnership, or agency between the parties. The Contractor acknowledges and agrees that:
- WiroRide is a technology platform that facilitates connections between Drivers and Passengers.
- WiroRide does not provide transportation services.
- The Contractor provides transportation services directly to Passengers as an independent business.
- WiroRide does not exercise control over the Contractor's methods, schedule, or manner of performing transportation services.
2.2 Freedom and Autonomy
As an independent contractor, the Driver retains full autonomy to:
- Set their own schedule: Choose when and how often to be available on the Platform.
- Accept or decline rides: The Driver is free to accept or decline any ride request without penalty or consequence.
- Use other platforms: The Driver may simultaneously use competing platforms, services, or engage in any other lawful business activity.
- Choose their service area: Determine where they wish to operate, subject to applicable laws and regulations.
- Provide their own vehicle: The Driver uses their own vehicle or a vehicle they are authorized to operate.
3. Contractor Responsibilities
3.1 Legal Compliance
The Contractor is solely responsible for:
- Holding a valid driver's license appropriate for the vehicle operated and the jurisdiction of operation.
- Maintaining current vehicle registration in the Contractor's name (or providing proof of authorization to use the vehicle).
- Carrying automobile insurance that meets or exceeds the minimum requirements of the state(s) in which they operate, including coverage for commercial/rideshare activity.
- Complying with all applicable federal, state, and local laws, regulations, and ordinances, including traffic laws, transportation network company (TNC) regulations, and licensing requirements.
- Obtaining any required permits, licenses, or certifications to legally provide transportation services.
3.2 Vehicle Requirements
The Contractor's vehicle must:
- Be in good operating condition and meet all safety standards.
- Pass any vehicle inspections required by applicable law or WiroRide's vehicle standards.
- Be clean and presentable for passenger transport.
- Have valid registration and insurance documentation at all times.
3.3 Professional Conduct
While the Contractor operates independently, the Contractor agrees to:
- Provide safe and courteous transportation services.
- Not operate a vehicle while under the influence of alcohol, drugs, or any substance impairing driving ability.
- Not engage in any form of discrimination against Passengers.
- Maintain a safe driving record.
- Report any accidents or safety incidents that occur during transportation services facilitated through the Platform.
4. Tax Obligations
As an independent contractor, the Driver is solely responsible for:
- Paying all applicable federal, state, and local taxes on income earned through the Platform.
- Filing all required tax returns and making estimated tax payments as required by law.
- Providing accurate tax identification information (SSN or EIN) to WiroRide for tax reporting purposes (e.g., IRS Form 1099).
- Understanding that WiroRide does not withhold income taxes, Social Security, Medicare, or any other taxes from payments made to the Contractor.
- Tracking and deducting business expenses (fuel, vehicle maintenance, insurance, etc.) as permitted by tax law.
5. Platform Access and Membership
5.1 Membership Fees
The Contractor agrees to pay applicable membership or subscription fees for access to the Platform. These fees are non-refundable once activated, as outlined in our Refund & Cancellation Policy.
5.2 Platform Commission
WiroRide charges a service fee or commission on rides facilitated through the Platform. The specific commission rate will be disclosed to the Contractor before activation and may be updated with reasonable notice. The Contractor agrees that WiroRide may deduct its commission from ride payments before disbursing earnings to the Contractor.
5.3 Payment Processing
Payments to the Contractor are processed through Stripe Connect or other payment processors designated by WiroRide. The Contractor must maintain valid payment information and agrees to the payment processor's terms of service. Payments are typically disbursed on a regular schedule as determined by WiroRide and the payment processor.
6. Background Checks and Verification
The Contractor consents to background checks and verification procedures as a condition of using the Platform. This may include:
- Criminal background screening.
- Motor vehicle record (MVR) checks.
- Identity verification.
- Driving history review.
WiroRide reserves the right to deny or revoke Platform access based on the results of these checks, in compliance with applicable law.
7. Insurance
The Contractor must maintain, at their own expense, the following minimum insurance coverage:
- Personal auto liability insurance meeting state minimum requirements.
- Commercial or rideshare endorsement as required by the state(s) of operation.
- Any additional coverage required by applicable TNC regulations.
The Contractor is responsible for understanding the terms and limitations of their insurance policies, including any gaps in coverage during rideshare activities. WiroRide is not responsible for providing insurance coverage for the Contractor or their vehicle.
8. Intellectual Property and Confidentiality
The Contractor acknowledges that:
- The Platform, its software, design, and content are the intellectual property of WiroRide.
- Passenger information obtained through the Platform is confidential and must not be used for any purpose outside of providing transportation services.
- The Contractor must not share, sell, or misuse any data obtained through the Platform.
9. Termination
9.1 Contractor Termination
The Contractor may terminate this Agreement and deactivate their account at any time, for any reason, by notifying WiroRide through the Platform or by contacting support. No refunds of membership fees will be issued for unused subscription periods.
9.2 WiroRide Termination
WiroRide reserves the right to suspend or terminate the Contractor's access to the Platform at any time, with or without cause, including but not limited to:
- Violation of this Agreement or WiroRide's policies.
- Unsafe driving behavior or safety complaints from Passengers.
- Fraudulent or dishonest conduct.
- Failure to maintain required licenses, insurance, or vehicle standards.
- Unsatisfactory background check results.
10. Dispute Resolution
Any disputes arising from or related to this Agreement shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation, the parties agree to binding arbitration in the State of New Jersey, in accordance with the rules of the American Arbitration Association. Each party shall bear its own costs and attorney's fees.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions.
12. Modifications
WiroRide reserves the right to modify this Agreement at any time. Material changes will be communicated to the Contractor via the Platform or email. Continued use of the Platform after modifications constitutes acceptance of the updated terms.
13. Entire Agreement
This Agreement, together with WiroRide's Terms of Service, Privacy Policy, and other applicable policies, constitutes the entire agreement between the parties regarding the Contractor's use of the Platform.
