Terms and Conditions of Service

1. Acceptance of Terms

By accessing or using the WiroRide platform ("Platform"), including the website at wiroride.com and any associated mobile applications, you agree to be bound by these Terms and Conditions of Service ("Terms"). If you do not agree, do not use the Platform.

2. About WiroRide

WiroRide LLC ("WiroRide", "we", "us", or "our") is a technology platform that connects independent transportation providers ("Drivers") with individuals seeking transportation services ("Passengers" or "Riders"). WiroRide is NOT a transportation company, taxi service, or common carrier. WiroRide does not provide transportation services. WiroRide acts solely as an intermediary technology platform facilitating the connection between Drivers and Passengers.

3. User Accounts

To use the Platform, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials. You must be at least 18 years old to use the Platform. You are responsible for all activity that occurs under your account.

4. Platform Services

WiroRide provides a technology platform that:

• Allows Passengers to request transportation services from independent Drivers
• Facilitates booking, payment processing, and communication between Drivers and Passengers
• Provides fare estimates and route optimization
• Offers driver onboarding, membership management, and marketing tools

WiroRide does not employ Drivers, own vehicles used for transportation, or control the manner in which transportation services are provided.

5. Disclaimer of Transportation Services

WiroRide does not provide, own, or operate any transportation services. All transportation is provided by independent, third-party Drivers who are not employees, agents, or representatives of WiroRide. The quality, safety, legality, and suitability of the transportation services are the sole responsibility of the Driver providing them.

6. Driver Responsibilities

Drivers using the Platform agree to:

• Maintain all required licenses, permits, and insurance for operating a transportation service in New Jersey and/or New York
• Keep their vehicle in safe, roadworthy condition
• Comply with all applicable local, state, and federal laws
• Provide services in a professional and safe manner
• Maintain active membership and good standing on the Platform

7. Passenger Responsibilities

Passengers using the Platform agree to:

• Provide accurate pickup and dropoff information
• Be present at the pickup location at the scheduled time
• Treat Drivers and their vehicles with respect
• Pay all applicable fares and fees
• Comply with applicable laws during the ride

8. Payments and Fees

WiroRide facilitates payment processing between Passengers and Drivers through Stripe. Fares are calculated based on distance, time, vehicle type, and applicable surcharges. By using the Platform, you authorize WiroRide to charge your selected payment method. All prices are in US Dollars (USD).

9. Driver Membership

Drivers are required to maintain an active monthly membership to operate on the Platform. Membership fees, terms, and conditions are outlined separately in the Independent Contractor Agreement and the Refund and Cancellation Policy.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WIRORIDE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE PLATFORM OR ANY TRANSPORTATION SERVICES ARRANGED THROUGH THE PLATFORM.

WiroRide's total liability shall not exceed the amount of fees paid by you to WiroRide in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless WiroRide LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of your use of the Platform or any transportation services.

12. Intellectual Property

All content, trademarks, logos, and intellectual property on the Platform are owned by WiroRide LLC. You may not use, reproduce, or distribute any content from the Platform without express written permission.

13. Termination

WiroRide reserves the right to suspend or terminate your account at any time, with or without cause, including for violation of these Terms. Upon termination, your right to use the Platform ceases immediately.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in the State of New Jersey.

15. Changes to Terms

WiroRide reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated date. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
