1. Technology Platform Intermediary

WiroRide LLC ("WiroRide", "we", "us", or "our") operates a technology platform that connects independent transportation providers ("Drivers") with individuals seeking transportation services ("Passengers"). WiroRide is NOT a transportation company, taxi service, limousine service, or common carrier.

WiroRide does not:

  • Provide, own, or operate any transportation vehicles.
  • Employ any Drivers. All Drivers are independent contractors.
  • Direct, control, or supervise the manner in which Drivers provide transportation services.
  • Set routes, schedules, or specific driving instructions for Drivers.
  • Guarantee the availability, quality, safety, or legality of transportation services offered by Drivers.

2. No Liability for Transportation Services

WiroRide acts solely as an intermediary platform. WiroRide assumes no liability for any actions, omissions, errors, representations, warranties, breaches, negligence, or any personal injury, death, property damage, or other damages or expenses resulting from:

  • Any transportation services provided by Drivers.
  • Any interactions between Passengers and Drivers, whether on or off the Platform.
  • The condition, legality, safety, or suitability of any vehicle used by a Driver.
  • Any accidents, incidents, delays, or losses that occur during transportation.
  • Driver conduct, behavior, driving ability, or compliance with traffic laws.

3. Independent Contractor Relationship

All Drivers using the WiroRide platform are independent contractors, not employees, agents, or representatives of WiroRide. Drivers are solely responsible for:

  • Maintaining valid driver's licenses and required permits.
  • Carrying adequate insurance coverage for their vehicles and passengers.
  • Complying with all applicable federal, state, and local laws and regulations.
  • Maintaining their vehicles in safe operating condition.
  • Paying all taxes, fees, and obligations related to their transportation services.

4. No Warranties

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. WiroRide makes no warranties, express or implied, regarding:

  • The reliability, timeliness, quality, or availability of the Platform.
  • The accuracy or completeness of any information provided through the Platform.
  • That the Platform will be uninterrupted, secure, or error-free.
  • The quality, safety, or legality of any transportation services accessed through the Platform.

To the fullest extent permitted by law, WiroRide disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

5. Limitation of Liability

To the maximum extent permitted by applicable law, WiroRide shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your use of or inability to use the Platform.
  • Any conduct or content of any third party on the Platform, including Drivers and Passengers.
  • Any transportation services obtained through the Platform.
  • Unauthorized access, use, or alteration of your data or content.

In no event shall WiroRide's total liability exceed the greater of one hundred dollars ($100) or the amount you have paid to WiroRide in the six (6) months prior to the event giving rise to the claim.

6. Assumption of Risk

By using the Platform, you acknowledge that transportation services arranged through the Platform carry inherent risks, including but not limited to traffic accidents, vehicle malfunctions, weather conditions, and the actions of third parties. You voluntarily assume these risks and agree that WiroRide is not responsible for any injuries, damages, or losses arising from the use of transportation services.

7. Indemnification

You agree to indemnify, defend, and hold harmless WiroRide, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Platform, your violation of these terms, or your violation of any rights of another party.

8. Governing Law

This Disclaimer and any disputes arising from or related to the Platform shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions.

9. Severability

If any provision of this Disclaimer is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
